The following definitions and rules of interpretation apply in these Conditions.

1.1 Definitions:

• Business Day: a day other than a Saturday, Sunday or public holiday in England, when banks in London are open for business.
• Content: all links, messages, photos, videos, material or information published on Sportas.co.uk
• Facilities: suppliers, operators or owners of sports venues, facilities, clubs, activities, coaches, referees, umpires, leagues and tournaments.
• Use: accessing and browsing, printing, copying and downloading from, linking to or from or registering with Sportas.co.uk.
• Cancellation window: The time at which it is not possible to receive a refund for a booking as it is in the defined period before the starting time of an event
• Suppliers: Organisers on the platform

1.2 Interpretation

• (a) Unless expressly provided otherwise in this Agreement, a reference to legislation or a legislative provision:
• (i)is a reference to it as amended, extended or re-enacted from time to time; and
• (ii) shall include all subordinate legislation made from time to time under that legislation or legislative provision.
• (b) Any words following the terms including, include, in particular, for example or any similar expression, shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
• (c) A reference to writing or written includes email.

2.1 Sportas is a social platform that connects users and organisers of sports games across the UK.

2.2 Through Sportas, you may host, join, search for games by location, date and time, and share real time information.

3.1 We reserve the right to update, change, suspend or permanently close the Sportas.co.uk and update this Agreement from time to time. We recommend that you revisit this page regularly to keep informed on the current terms of the Agreement which apply to your Use. By continuing to Use Sportas.co.uk, you will be deemed to have agreed to any changes to this Agreement.

4.1 By signing up to Sportas.co.uk, you warrant and accept the following:

4.1 Your use of Sportas.co.uk is solely for your own personal use. Except where this Agreement or Sportas.co.uk expressly permit you to do so, you may not use Sportas.co.uk:

• (a) to copy, reproduce, use, re-sell or otherwise deal with any Content on Sportas.co.uk;
• (b) for the purpose of commercially exploiting the Content or any part of it;
• (c) in any way that breaches any applicable law or regulation or in a way that is unlawful or fraudulent or has an unlawful or fraudulent purpose or effect;
• (d) to modify, distribute or re-post any Content on this Sportas.co.uk;
• (e) to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam)

5.1 We are the sole legal and beneficial owner, or are the authorised licensee, of all intellectual property rights (including copyright) in and to this Sportas.co.uk and (including its design and underlying code) and in the Content published on it. Copyright laws and treaties around the world protect these works and all rights in and to them are reserved to Us.

5.2 If you acquire any copyright or other intellectual property rights in the Sportas.co.uk Content on Sportas.co.uk (including any rights you may have in user generated Content that you submit through the Sportas.co.uk), whether by operation of law or otherwise, then you agree to assign such rights to Us on a non-exclusive, royalty free, perpetual, irrevocable and worldwide basis absolutely to the fullest extent permitted by law. You also unconditionally and irrevocably waive any and all moral rights you acquire in or to this Sportas.co.uk and its Content. You further agree to execute all such documents and do all such acts and things as We may reasonably require in order to assign any such rights to Us and to waive any moral rights you acquire in or to this Sportas.co.uk or its Content.

5.3 You may print or make copies of or download a reasonable number of extracts of any Content from this Sportas.co.uk for your personal use and reference or to draw the attention of others known to you to the Content on the Sportas.co.uk.

5.4 You agree you will not modify in any way the paper or digital copies of any Content that you have printed or downloaded from this Sportas.co.uk or Use any of the Sportas.co.uk graphics (including illustrations and photographs) or video or audio sequences separately from any accompanying text.

5.5 In using the Content on this Sportas.co.uk, you must always acknowledge Our status (and that of any identified contributors) as the authors of the Content.

5.6 If you print, copy or download any part of this Sportas.co.uk in breach of these Sportas.co.uk Terms, you agree your Use of the Sportas.co.uk and is to immediately cease or may be terminated by Us and that you will, at Our option, return to Us or destroy any copies of such Content.

6.1 Sportas.co.uk helps you to find sports activities and locations and to make reservations for these through Sportas.co.uk for services and products delivered by suppliers for whom We act as agents.

6.2 As Sportas.co.uk acts as an interface in your transactions with suppliers in the sport industry, you must be legally authorised to enter into contractual obligations and have the required Sportas.co.uk consent or authority to act for or on behalf of any persons included in such transactions. If you are under the age of 18, you must not Use Sportas.co.uk or submit personal information unless you have the consent of, and are supervised by, a parent or guardian. You warrant that all data provided by you is accurate and you guarantee the accuracy of any information entered on Sportas.co.uk by you in relation to a transaction, booking or person whom you represent.

6.3 Any Use of this Sportas.co.uk by you which is fraudulent or in breach of with this Agreement shall give Us the right to refuse you access to the products and services offered by Us and to Sportas.co.uk.

6.4 Any bookings made by you through Sportas.co.uk will be governed by this Agreement and any other legal notices contained on Sportas.co.uk or any other specific sales terms and conditions which are on this Sportas.co.uk and which We draw your attention to during the booking process.

7.1 Sportas is not responsible for and disclaims any and all liability related to any and all bookings for our suppliers’ Facilities. Accordingly, any bookings that are made by you as a result of using the Sportas.co.uk are done so at your own risk and when making a booking you accept all liability for any losses or damages that occur at a Facility as a direct or indirect result of a booking you make.

7.2 Sportas shall not in any circumstances have any liability for any losses or damages which may be suffered by the supplier (or any person claiming under or through the supplier), whether the same are suffered directly or indirectly or are immediate or consequential, and whether the same arise in contract, tort (including negligence) or otherwise howsoever, which fall within any of the following categories:

• (a) damage, even though Sportas was aware of the circumstances in which such special damages could arise;
• (b) loss of profits;
• (c) loss of anticipated savings;
• (d) loss of business opportunity;
• (e) loss of goodwill.

8.1 Sportas accepts liability for any cancelled bookings by the supplier and will provide you with a refund of any payment made through Sportas.co.uk for the cancelled booking within 3 – 5 working days’ of the date of the booking.

8.2 There may be unforeseen changes to the availability of a slot after a booking has been paid for via the Sportas.co.uk. In these cases We will do all that is reasonably possible to find an alternative slot, and if none can be found that you would like to accept, a full refund will be processed within 3 – 5 business days.:

8.3 The Facility may cancel or move a booking at any time for reasons beyond Our control. In these instances we will make every effort to gain a refund on behalf of the booker or move the booking to a suitable time.

8.4 The price for bookings may change at any time and the information provided on our Sportas.co.uk may not be correct. We will make every effort to ensure that the correct pricing is provided at the time of booking but cases may occur when the Facility amends their pricing before a booking has started. As such it is our responsibility to pass on the price difference but we accept no liability for any change in price.

9.1 If you make a booking through Sportas.co.uk, you agree to pay the relevant charges as described on Sportas.co.uk and will be responsible for any payments or fees linked to your account.

9.2 The prices may be modified on Sportas.co.uk from time to time. In no case will Sportas add additional costs to the price of a booking automatically, but only those services that the User has selected and chosen voluntarily and freely.

9.3 Unless otherwise stated, all fees are due upon a booking being placed and payment will be facilitated by using the preferred payment method associated with your account. If your primary payment method is not able to be charged, may use a secondary payment method if available. If your payment method(s) are unavailable, we reserve the right to continue to try to take payment.

9.4 In the event of cancellation of a booked activity, we may withhold the payment in line with the cancellation policy of the activity. If the booked activity is cancelled outside of the cancellation window a full refund is issued, which is processed within 3 – 5 business days.

9.5 Suppliers on the platform will receive their payout within 5 working days of the end time of an event.

9.6 When a Supplier cancels a game on the platform all users who were booked to the activity are automatically refunded

9.7 Suppliers payout at the end of the event is net of any commissions agreed between Sportas and the Supplier.

10.1 Although We use reasonable efforts to ensure that this Sportas.co.uk and is free from viruses and other malicious or harmful content, We do not guarantee that your Use of this Sportas.co.uk (including any Content on or webSportas.co.uk accessible from this Sportas.co.uk) will not cause damage to your computer or other devices. You are responsible for ensuring that you have the right equipment (including antivirus software) to use the Sportas.co.uk or safely (and any websites which are accessed via links from this Sportas.co.uk) and to screen out anything that could damage or harm your computer or other devices.

10.2 We exclude all liability for any loss and/or damages, whether in contract, tort (including negligence), breach of statutory duty, or otherwise which directly or indirectly are caused by or arise from or in connection with:

10.3 your Use of or reliance on the Content on this Sportas.co.uk;

10.4 your failure to protect your password or account details;

10.5 Sportas.co.uk being unavailable or inaccessible at any time or for any period;

10.6 delays or interruptions to the delivery of any Content on this Sportas.co.uk any products and services provided by Us on Sportas.co.uk; or

10.7 a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your Use of Sportas.co.uk and any Content on the Sportas.co.uk or or any webSportas.co.uk accessible from the Sportas.co.uk or

10.8 We assume no liability for the content of websites linked on Sportas.co.uk. Such links should not be interpreted as an endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

10.9 Business Users: If you are a business user, please note that, to the maximum extent permitted by law, We will not be liable for:

• (a) loss of profits, sales, business or revenue
• (b) business interruption;
• (c) loss of anticipated savings;
• (d) loss of business opportunity, goodwill or reputation
• (e) any indirect or consequential loss or damage

10.10 Consumer Users:

• (a) If you are a consumer user, please note that this Sportas.co.uk is only provided for domestic and private use. You agree not to use this Sportas.co.uk for any commercial or business purposes and We have no liability to you for any loss of profit, business, business interruption, or loss of business opportunity.

10.11 Exclusions:

• (a) Nothing in these Sportas.co.uk Terms shall exclude or limit Our liability for death or personal injury caused by Our negligence or Our liability for fraudulent misrepresentation fraud, or any other liability that We cannot exclude or limit under applicable law. If any provision in the disclaimers and exclusions from liability contained in this Agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
• (b) No third party shall be entitled to enforce any terms of this Agreement, whether by virtue of the Contracts (Rights of Third Parties) Act 1999 (UK) or otherwise.

11.1 Force majeure. Neither party shall be in breach of the Contract nor liable for delay in performing, or failure to perform, any of its obligations under the Contract if such delay or failure result from events, circumstances or causes beyond its reasonable control.

11.2 Entire agreement. These Sportas.co.uk Terms (including, where applicable, Our Privacy Statement) set out the entire agreement between you and Us and supersede any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by law.

11.3 Governing law. This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by, and construed in accordance with the law of England and Wales.

11.4 Jurisdiction. You and We irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation.
